This guide covers forming a domestic LLC in West Virginia. File Articles of Organization with the West Virginia Secretary of State, not Virginia’s State Corporation Commission. West Virginia’s LLC organization law provides that the company begins when the articles are filed unless a delayed effective date is specified.
The formation document is Form LLD-1, Articles of Organization. Its standard filing fee is $100; an applicable waiver or optional service can change the amount due. LLC formation and state tax registration are separate requirements.
There is no single formation date that works for every business. A practical approach is to prepare the filing after choosing an acceptable name, confirming who will handle official correspondence, and deciding what address to use as the principal office. After formation, put the applicable reporting deadline in the company’s compliance calendar.
Who Can Organize a West Virginia LLC?
Under West Virginia’s organization law, one or more persons may organize an LLC with one or more members. The organizer handles the formation filing. This role is different from being a member, manager, or agent for service of process; describe each person’s role accurately.
Before selecting the entity classification, determine whether the business will provide a regulated professional service. Form LLD-1 includes a Professional LLC choice and requires licensing-board Verification of Eligibility where applicable. Resolve the classification with the appropriate board before filing; an ordinary LLC filing is not a substitute for professional authorization.
Information to Gather Before Filing
Gathering and checking the details before opening the online filing process or completing the form can prevent inconsistencies. The articles-of-organization requirements cover the company’s name, offices, any initial process agent, organizers and authorized members, term, management, liability provisions, purpose, and correspondence email subject to the statutory exception.
West Virginia LLC name
The proposed name must be distinguishable from other registered names and include an accepted LLC ending. Use the state’s name-availability guidance and linked business search. Use the exact version of the name the business intends to place on its formation filing. Pay attention to punctuation, spacing, abbreviations, and the selected LLC ending so that internal records use a consistent name.
Principal office
Prepare the principal-office address and mailing address, plus information for any designated West Virginia office. Before filing, confirm that everyone involved in the formation process is using the same address. This is particularly useful when the organizer and business owner are different people.
Agent for service of process
Do not carry Virginia’s registered-agent requirements into a West Virginia filing. West Virginia law permits an LLC to maintain a designated office and a process agent; it does not make appointing a private agent mandatory. If one is appointed, the agent must meet West Virginia’s eligibility requirements. Check the name, address, and arrangements for receiving legal notices directly with the proposed agent.
Whether or not a private agent is selected, establish who will monitor business correspondence and keep the company’s contact information current. Do not treat an organizer’s name as interchangeable with an agent designation.
Business and tax planning details
LLC formation is only one part of setting up a business. Prepare the management choice, required names and addresses, duration, business purpose, and any additional provisions deliberately. Do not agree to a member-liability provision without understanding it and obtaining the consent required by the filing instructions.
A business planning to make taxable sales must review tax registration separately from formation. The West Virginia registration guide explains the One Stop online route and separate agency filings for paper applications. Formation should not be treated as a substitute for activity-specific tax, licensing, or permit reviews.
How to File the West Virginia Articles of Organization
- Confirm the jurisdiction and filing type. This guide concerns a new domestic West Virginia LLC. An existing entity formed elsewhere needs a separate assessment of authorization to operate in West Virginia.
- Choose the appropriate entity classification. Review the LLC or professional LLC selection and any required supporting approval before submitting.
- Finalize the LLC name. Check availability and the required ending. Enter the same name consistently throughout the filing.
- Prepare the office and contact information. If another person is completing the filing, give that person finalized information rather than an earlier draft.
- Complete the organizational choices. Review the term, management, purpose, member-liability provisions, and agent information if applicable. Check the completed filing against the founders’ agreed information.
- Identify the organizers and sign. Supply the required names, addresses, and signature. Read each certification before signing.
- Submit the filing and applicable fee. Use the state’s One Stop portal or submit LLD-1 according to its current instructions. Do not send Virginia LLC1011 or LLC1103.
- Retain the completed business records. Keep the filed articles, approval, and payment record together so the LLC can use consistent names and addresses in later business, banking, tax, and compliance matters.
If the intended start date is important, check the effective-date choice and the state’s response before assuming the LLC exists. Plan time to correct a rejected or incomplete filing rather than relying on an unverified approval date.
What Is Due After Formation?
A newly formed LLC generally begins annual reporting in the calendar year after formation. The standard annual report fee is $25 and the deadline is June 30, not the anniversary month. West Virginia’s current reporting law also allows an eligible entity with five consecutive timely annual reports and good standing to elect biennial reporting. This change took effect July 1, 2026; it does not automatically put a new LLC on a two-year schedule.
The statutory biennial fee is $50. Follow the prescribed election procedure and the entity’s actual reporting schedule. Late fees are $50 for an annual delinquency or $100 for a biennial delinquency, and failure to comply can lead to dissolution or revocation. Check applicable fee waivers and online service charges separately.
Assign responsibility for monitoring the reporting deadline. Keep state tax filings, employment obligations, licenses, and local requirements on separate calendar entries. Paying a Secretary of State reporting fee does not complete those other obligations.
Practical Filing Examples
A general consulting business
An organizer first settles on an acceptable name, confirms the office information, and reviews who will manage the LLC and receive correspondence. The organizer then completes the applicable formation filing and keeps the state’s approval with the business records. If the company is formed in September 2026, its ordinary first annual-report deadline is June 30, 2027, rather than September’s anniversary.
A business using two organizers
Two founders should decide which person will enter or submit the final information, then compare the completed filing against their shared list of the exact LLC name, offices, organizers, management choice, and any agent information. This avoids one organizer submitting details that the other had already changed.
A qualifying professional practice
A professional practice should resolve licensing-board eligibility before completing the professional LLC selection. Review the profession-specific requirements with the board or a qualified adviser; the general steps above are not a complete professional-practice compliance checklist.
